London-based payments infrastructure company OpenPayd expects to complete a planned Nasdaq listing by the end of the year, with the proceeds intended to support its U.S. expansion and additional acquisitions, CEO Iana Dimitrova said.

OpenPayd is in the final stages of a U.S. Securities and Exchange Commission review of its proposed merger with Titan Acquisition Corp., Dimitrova said in an interview. According to CoinDesk, The combined company is expected to trade on Nasdaq under the ticker OP.

Dimitrova said she expects the transaction to close this year, provided there is no significant external disruption. The deal still requires the registration statement to become effective and approval from Titan shareholders, among other conditions.

OpenPayd Prepares U.S. Payments Launch

The planned listing comes as the U.S. develops a regulatory framework for digital assets and stablecoins. The GENIUS Act established a federal framework for payment stablecoins, while the SEC has proposed rules covering certain crypto assets.

For OpenPayd, the evolving regulatory environment could create opportunities to provide payments infrastructure to companies connecting traditional financial systems with blockchain networks.

The company has already expanded its connections within the digital-asset payments sector. OpenPayd has integrated with Circle Payments Network for cross-border payments and joined Fireblocks' payments network, where participants can access its fiat infrastructure.

Dimitrova described OpenPayd as a “global infrastructure platform for modern money movement” and said there was “no public market competitor that has the same combination of fiat and stablecoin capabilities that OpenPayd can deliver today.”

OpenPayd plans to use funding from the listing to support its U.S. expansion, with services for U.S. customers targeted for launch by April 2027.

The company moved closer to that goal last month after bringing MSB USA Inc. and its 43 state money transmitter licenses into the OpenPayd group.

OpenPayd provides businesses with accounts, foreign exchange and domestic and international payment services, as well as infrastructure connecting traditional currencies with stablecoins. Its customers include crypto exchange Kraken, market maker B2C2 and trading platform OKX.

OpenPayd Reports $73 Million in Annual Revenue

OpenPayd reported $73 million in revenue for the year ended April 30, 2026, according to an investor presentation, compared with $57 million in the previous year.

The company reported $13 million in EBITDA for the latest financial year, while its net loss stood at $2.8 million.

OpenPayd's planned U.S. listing comes as other crypto and payments companies pursue different routes into public markets. Stablecoin payments company RedotPay is advancing preparations for a U.S. initial public offering after recently completing a financial audit.

Kraken parent Payward, meanwhile, has pushed its potential listing to the second quarter of 2027 at the earliest.

For OpenPayd, the proposed Nasdaq transaction remains subject to regulatory and shareholder approvals before it can be completed.
