Coinbase Opens IPO Access to U.S. Retail Customers With Oura Shares

Coinbase opens IPO access to eligible U.S. retail customers with Oura shares, expanding its platform into primary equity markets.
Coinbase expands IPO access for eligible U.S. customers with Oura shares as its first offering

Coinbase has begun offering eligible U.S. retail customers access to initial public offerings, starting with smart-ring maker Oura and allowing participants to request shares at the IPO offer price before trading begins on public markets.

The new service is being offered through Coinbase Capital Markets, expanding the company's financial services beyond cryptocurrency and secondary-market stock trading. According to Coinbase’s blog post, Apex will handle execution, clearing and custody for shares distributed through the Coinbase application.

Coinbase said an IPO request does not guarantee an allocation. If demand exceeds the number of shares available, customers may receive their full request, a partial allocation or no shares.

Coinbase IPO Access Starts With Oura

Oura is the first company available through Coinbase's new IPO service. Eligible customers can submit requests for shares at the offering price before the stock begins public trading.

The allocation process will depend on both investor demand and the supply of shares available in each offering. As a result, submitting a request alone does not ensure that an investor will receive shares.

The service represents a shift from Coinbase's earlier offerings involving exposure to private companies through derivatives. In June, the company introduced pre-IPO perpetual futures for eligible customers outside the United States.

Those products provide synthetic exposure to the price movements of private companies, including SpaceX, but do not give holders direct ownership of the underlying companies or shareholder rights.

IPO allocations are different because investors who receive shares acquire actual securities, subject to the applicable eligibility and allocation requirements.

Coinbase Expands Into Traditional Financial Markets

The IPO service forms part of Coinbase's broader expansion into traditional financial products.

The company has outlined plans involving stocks, options, indexes, exchange-traded funds and other financial instruments. U.S. customers can also transfer existing stock portfolios to Coinbase and trade publicly listed securities through the platform.

The expansion places primary-market access alongside Coinbase's existing cryptocurrency services, stock-related products and other financial offerings.

SEC Filing Adds to Equity Derivatives Plans

Coinbase is also seeking regulatory approval to introduce equity perpetual contracts in the United States.

The company filed a notice registration form with the Securities and Exchange Commission earlier in September for the proposed product. Equity perpetuals are designed to track stock prices without providing ownership of the underlying shares and, unlike conventional futures, do not have fixed expiration dates.

If approved, the contracts would add another equity-related product to Coinbase's growing financial-services platform, alongside stock trading, portfolio transfers, derivatives and IPO allocations.

The Oura offering will provide an early test of demand for IPO access through Coinbase and the company's ability to distribute limited share allocations to eligible U.S. retail customers. The response could help shape the pace at which Coinbase introduces additional IPO opportunities.
